Mr. Lawrence provides experienced counsel for business owners who are buying or selling a business.  As an experienced Utah M&A lawyer, he understands the complexities of mergers and acquisitions.  Mr. Lawrence has provided counsel for Utah acquisitions and mergers, multi-state transactions as well as transactions between U.S. and foreign entities.  His mergers and acquisitions practice serves small to mid-size businesses.

Franchise Law
Mr. Lawrence is an experienced Utah franchise attorney.  He has represented franchisors and franchisees in Utah and throughout the Intermountain West.  He has worked with those who desire to create and sell a franchise system to others.  There are numerous business and legal issues requiring an experienced franchise lawyer to satisfy the requirements of state and federal laws.  Mr. Lawrence has created the franchise agreement and Uniform Franchise Offering Circular (UFOC), now called a Franchise Disclosure Document required for the sale of a franchise.  There are certain states that require the registration of the offering, similar to a securities registration, before it can be sold.  He will interface with these state agencies and negotiate the necessary changes in the documents in order to satisfy the individual state's concerns.

Mr. Lawrence has also assisted those seeking to purchase a franchise system from a franchisor.  He has reviewed the disclosure documents, explained the legal implications of entering into a franchise relationship and negotiated changes on behalf of the franchisee.
Mr. Lawrence is an experienced Utah arbitrator.  He has served as an arbitrator for the Financial Industry Regulatory Authority (FINRA, formerly NASD), many times serving as chairperson of the arbitration panel.  He can serve as an independent decision maker of disputes between parties.  If you have a contract dispute and wish to avoid the extreme costs and time delay of court proceedings, consider having your dispute settled by Mr. Lawrence, as an independent arbitrator of the dispute.
